1 Acceptance of Terms

By accessing or using any website, application, software, or service provided by CoreConnect Technologies ("CoreConnect", "we", "our", or "us"), you ("Customer", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of an organization or educational institution, you represent that you have the authority to bind that organization.

If you do not agree to these Terms, you must not access or use our Services.

2 Our Services

CoreConnect Technologies provides school management software, custom digital solutions, and related technology services (collectively, the "Services"). Our Services include, but are not limited to:

• School ERP and management platforms
• Student, staff, and academic record management
• Attendance, timetable, fees, and reporting modules
• Parent communication and portal solutions
• Custom CRM, e-commerce, and business software
• Consulting, implementation, and support services

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with reasonable notice where practical.

3 Accounts & Registration

Certain parts of our Services require you to create an account or to be provisioned one by your institution. When using our Services, you agree to:

• Provide accurate, current, and complete information.
• Maintain the security of your login credentials.
• Promptly notify us of any unauthorized use of your account.
• Accept responsibility for all activities that occur under your account.

We may suspend or terminate accounts that violate these Terms, present a security risk, or are used for unlawful purposes.

4 Acceptable Use

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party right.
• Upload or transmit malicious code, viruses, or harmful content.
• Attempt to gain unauthorized access to any part of the Services.
• Interfere with or disrupt the integrity or performance of the Services.
• Reverse engineer, decompile, or copy any part of the Services.
• Use the Services to send spam or unsolicited communications.
• Misrepresent your identity or affiliation with any person or entity.

5 Customer Data

As between you and CoreConnect, you retain all rights, title, and interest in the data, records, and content that you or your institution upload to the Services ("Customer Data"). This includes student records, staff details, attendance, grades, and fee information.

You grant CoreConnect a limited license to access, process, store, and transmit Customer Data solely to provide the Services and as described in our Privacy Policy.

You are responsible for ensuring that you have the necessary rights and consents to upload Customer Data, particularly for student and parent information, and for complying with applicable data protection laws.

6 Fees & Payment

Certain Services may be provided on a paid basis. Where applicable:

• Fees are set out in your agreement, order form, or proposal.
• Invoices are payable within the period stated on the invoice.
• All fees are exclusive of applicable taxes unless stated otherwise.
• Fees are non-refundable except as required by law or expressly agreed in writing.

We may suspend access to paid Services if payment is not received within a reasonable time after the due date.

7 Intellectual Property

The Services, including all software, source code, designs, text, graphics, logos, and documentation, are owned by CoreConnect Technologies or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, non-sublicensable license to use the Services solely for your internal institutional or business purposes, subject to these Terms.

You may not copy, modify, distribute, sell, sublicense, or create derivative works of the Services without our prior written consent.

8 Third-Party Services

Our Services may integrate with or link to third-party products, platforms, or websites. We do not control and are not responsible for the content, policies, or practices of third-party services.

Your use of any third-party service is subject to that provider's own terms and conditions. We encourage you to review them before use.

9 Confidentiality

Each party may receive confidential information from the other in connection with the Services. Each party agrees to:

• Use the other party's confidential information only to perform its obligations under these Terms.
• Protect the other party's confidential information using reasonable care.
• Not disclose confidential information to third parties except as required by law or with prior written consent.

These obligations do not apply to information that is publicly available, independently developed, or lawfully received from a third party without restriction.

10 Disclaimers

The Services are provided on an "as is" and "as available" basis. While we strive for high reliability and quality, we do not warrant that:

• The Services will be uninterrupted, error-free, or completely secure.
• All defects will be corrected.
• The Services will meet your specific requirements.

To the maximum extent permitted by law, CoreConnect disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

11 Limitation of Liability

To the maximum extent permitted by applicable law, CoreConnect Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Services.

Our total cumulative liability for any claim arising under these Terms shall not exceed the total fees paid by you to CoreConnect in the twelve (12) months preceding the event giving rise to the claim.

12 Termination

Either party may terminate the use of the Services in accordance with the applicable agreement or by providing written notice. We may suspend or terminate your access immediately if:

• You materially breach these Terms and fail to remedy within a reasonable period.
• We are required to do so by law.
• Your continued use poses a security or legal risk.

Upon termination, your right to access the Services will cease, and we may delete Customer Data in accordance with our retention practices and the terms of your agreement.

13 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.

14 Changes to Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you.

Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
